This Vendor Agreement ("Agreement") is entered into between
AmplePoints LLC ("Company") and the vendor ("Vendor") upon acceptance of the
terms outlined below. By selecting "I Agree," the Vendor acknowledges and
agrees to the terms and conditions herein.
1. Vendor Package Benefits
Upon signing up and payment of the package fee, the Vendor
will receive the following exclusive benefits:

1. Online Store: A personalized platform to showcase and
sell products/services.
2. E-Gift Cards: Digital gift cards to increase customer
engagement.
3. Social Sharing Rewards: Incentives for customers
sharing content on social media.

5. Direct Messaging: Connect directly with customers.
6. Live Analytics: Monitor sales, customer behavior, and
engagement in real time.
7. Social Media Page: Boost your online presence with a
dedicated page.

2. Empower Retailers: Earn 2% of cash purchases from
customers who sign up through your business, paid in AmplePoints for a
year. For example, sign up 10,000 customers spending $100/month, and
earn $20,000 in AmplePoints.
3. Empower Customers: Enable customers to earn rewards for
shopping, referrals, social sharing, ad views, and big-ticket
purchases.

Pricing:
$10,000 Package: Includes $5,000 worth of AmplePoints
advertising with guaranteed 33,333 clicks for 15-second commercials and all
vendor features and benefits included.
2. Credit Agreement
By selecting "I Agree," the Vendor acknowledges and agrees that if a
credit agreement is established as part of their payment, the remaining balance up
to $10,000 will be provided in the form of goods or services to AmplePoints. The
Vendor further agrees to honor this credit and fulfill the value of the goods or
services as outlined in this Agreement.
3. Term & Termination
This Agreement is effective upon acceptance and remains in force until
terminated by either party with a 30-day written notice.
Termination does not affect obligations accrued prior to termination,
including outstanding credits or services due.
4. Vendor Obligations
Maintain an active account and abide by all AmplePoints platform
policies.
Ensure accurate tracking and timely allocation of AmplePoints earnings
to the Vendor.
6. Limitation of Liability
AmplePoints will not be liable for indirect, incidental, or
consequential damages arising from the use of its platform or services.
7. Governing Law
This Agreement is governed by and construed in accordance with the
laws of the state of Nevada.
8. Entire Agreement
This Agreement constitutes the entire agreement between the parties
and supersedes all prior negotiations and understandings.
